DSP Group, Inc. Websites Terms of Use

Please read these terms of use (“Terms“) carefully before using this site. DSP Group Inc™. (“DSP Group”) operates this and other websites (“Websites”) to provide materials (“Materials”) to visitors and customers who sign up with DSP Group (“Members“). By accessing and using the DSP Group Websites and Materials, you acknowledge and agree to abide by the following Terms. If you do not agree to these Terms, do not use the DSP Group Websites or download any Materials. DSP GROUP reserves the right to amend these Terms from time to time without notice, by posting the revised terms on the Websites. 

License and Restrictions. Subject to your compliance with these Terms, DSP Group grants you a personal, nontransferable, nonexclusive license, to access and use the Websites and Materials, solely for informational and non-commercial purposes, for internal use and/or for the purpose of using, managing and supporting DSP Group devices (“DSP Group Devices”) owned, controlled or serviced by you.  You may not copy, distribute, transmit, publicly display, publicly perform, reproduce, publish, license, modify, create derivative works from, transfer, or sell any content from the Websites or Materials. 

Trademarks.  The trademarks, logos and service marks (collectively, “Marks”) displayed on the Websites and Materials are the property of DSP Group or third parties.  You are not permitted to use these Marks without the prior written consent of DSP Group or the relevant third party. 

Intellectual Property Rights. You acknowledge and agree that these Terms do not convey or transfer to you any intellectual property rights or grant any licenses in or to any technology or intellectual property or content, other than as expressly provided herein. The content contained in the Websites and Materials, including, but not limited to, product information, technology information, user guides, white papers, analysis, trade names, graphics, designs, icons, audio or video clips and logos, is DSP Group proprietary information, protected by copyright, trademark, patent and/or other intellectual property rights, under US and international law. Third-party trademarks and information are the property of their respective owners.

Exclusions of Warranty:  AS A CONDITION OF USE OF THE WEBSITES AND MATERIALS, YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

  • YOUR USE OF THE WEBSITES AND MATERIALS IS AT YOUR SOLE RISK AND ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OF INTELLECTUAL PROPERTY, OR FITNESS FOR ANY PARTICULAR PURPOSE. WHILE DSP GROUP USES REASONABLE EFFORTS TO INCLUDE ACCURATE AND UP-TO-DATE INFORMATION ON THE WEBSITES AND IN THE MATERIALS, DSP GROUP MAKES NO WARRANTIES OR REPRESENTATIONS AS TO ACCURACY OR COMPLETENESS.
  • ANY MATERIALS DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE WEBSITES IS AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY RESULTING DAMAGE TO YOUR COMPUTER SYSTEM OR OTHER DEVICE OR FOR LOSS OF DATA.

Limitation of Liability: AS A CONDITION OF USE OF THE WEBSITES AND MATERIALS, YOU EXPRESSLY UNDERSTAND AND AGREE THAT IN NO EVENT SHALL DSP GROUP AND/OR ITS RESPECTIVE SUPPLIERS BE LIABLE FOR:

  • ANY SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER IN CONTRACT, TORT OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THE USE OF INFORMATION AVAILABLE FROM THE WEBSITES OR MATERIALS.
  • ANY LOSS OR DAMAGE WHICH MAY BE INCURRED BY YOU, INCLUDING BUT NOT LIMITED TO LOSS OR DAMAGE AS A RESULT OF ANY RELIANCE PLACED BY YOU ON THE COMPLETENESS, ACCURACY OR EXISTENCE OF THE WEBSITES OR MATERIALS, OR FOR ANY PERMANENT OR TEMPORARY CESSATION IN THE PROVISION OF THE WEBSITES OR MATERIALS.
  • ANY AMOUNT IN EXCESS OF THE AMOUNT YOU PAID FOR ACCESS TO THE WEBSITES OR MATERIALS.

THESE LIMITATIONS ON LIABILITY SHALL APPLY WHETHER OR NOT DSP GROUP HAS BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF ANY SUCH LOSSES.  BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMIATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, DSP GROUP’S AND ITS SUPPLIERS’ LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

Links to Third-party Websites. The Websites may contain links to third-party websites. Such links are provided for convenience only and DSP Group makes no warranty, nor does it assume any responsibility or liability in connection with the access and use of any other website.

Access to Password-protected Areas. The Websites may include restricted zones that are password-protected for Members. Access to such restricted areas is limited to authorized users only, and unauthorized access may be considered a criminal offense. If you were provided a password, user ID or any other form of authentication by DSP Group (“Password”), you agree that the Password is considered confidential and proprietary information of DSP Group and may not be disclosed or transferred to any other party.  You are entirely responsible for maintaining the confidentiality of your Password. Furthermore, you are entirely responsible for any and all activities that occur under your name and/or Password. You agree to notify DSP Group immediately of any unauthorized use of your Password or any other breach of security here. DSP Group will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by DSP Group or another party due to someone else using your Password.

Privacy. Information submitted by you or collected by us in connection with the use of the Websites is subject to our Privacy Policy, the terms of which are incorporated herein by reference. Our Privacy Policy is available at: www.dspg.com. 

Materials and Communications sent to DSP Group.  Any unsolicited material, information or other communication you transmit or post to the Websites or send to DSP Group will be considered non-confidential and non-proprietary (“Communications“). Thus, you give up any claim that any use of such material violates any of your rights including moral rights, privacy rights, proprietary or other property rights, publicity rights, rights to credit for material or ideas, or any other right. DSP Group will have no obligations with respect to the Communications. DSP Group and its designees will be free to copy, disclose, distribute, incorporate and otherwise use the Communications and all data, images, sounds, text, and other things embodied therein for any and all commercial or non-commercial purposes. 

Any material submitted to this Site may be adapted, broadcasted, changed, copied, disclosed, licensed, performed, posted, published, sold, transmitted or used by DSP Group anywhere in the world, in any medium, forever. Furthermore, DSP Group is free to use, without any compensation to you, any concepts, ideas, know-how or techniques contained in any communication you send to the Websites for any purpose whatsoever, including but not limited to developing, manufacturing and marketing products using such information. 

Export. The information, products or services available on the Websites or through the Materials or any part thereof may be subject to export or import controls under the laws and regulations of the United States and/or Israel. You agree to comply with such laws and regulations and agree not to knowingly export, re-export, import or re-import, or transfer products without first obtaining all required government authorizations or licenses. 

Governing Law and Completeness of Terms. These Terms and any action related thereto shall be governed, controlled, interpreted and defined in accordance with the laws of the State of Israel, without regard to the conflicts of laws provisions thereof.  These Terms constitute the entire understanding between you and DSP Group with respect to its subject matter and all prior and contemporaneous negotiations, representations, agreements and understandings, whether written or oral, are merged into, extinguished and completely expressed hereby.

Factors that could cause actual results to differ materially from these forward-looking statements include, but are not limited to, general business conditions and other risks detailed from time to time in DSP Group’s filings with the United States Securities and Exchange Commission.
